They govern your use of the AFit assessment platform, the Student Orientation to School Questionnaire (SOS-Q), the websites at [www.afitlearning.com](https://www.afitlearning.com?hsLang=en) and app.afitlearning.com, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of a school, school board, or other organization, you confirm that you have authority to accept these Terms for that organization.   ### **1. About the Service** AFit is an online assessment, usually taking 10 to 20 minutes, that helps identify a student's strengths, learning needs, and frustration patterns in literacy, numeracy, and cognition, and provides research-based strategies for home and school. The Service may also track a student's progress over time. SOS-Q is an online questionnaire that students complete under the direction of their School. It measures how a student feels about school, including safety, peer relationships, confidence, and resilience, to help Schools identify students who may benefit from support.   ### **2. Not a diagnosis** The Service is an educational screening and support tool. It is not a medical, psychological, psychoeducational, or clinical diagnosis, and it does not replace a formal evaluation by a qualified professional. Results and strategies are for general educational information only. If you have concerns about a child's learning, development, health, or wellbeing, please consult a qualified educator, psychologist, physician, or other professional. Do not delay seeking professional advice because of anything provided through the Service.   ### **3. Eligibility and accounts** - You must be at least 18 years old (or the age of majority where you live) to create an account. - Students may use the Service only through an account or questionnaire link provided by a parent, guardian, or authorized School, and should be supervised when appropriate. - You must give accurate information and keep it up to date. - You are responsible for keeping your login details confidential and for all activity under your account. Tell us right away at tim@afitlearning.com if you suspect unauthorized use. - By adding a student to the Service, you confirm that you are that student's parent or legal guardian, or that you are authorized by the School and have any consent required by law. ### **4. Schools and organizations** If a School uses the Service, its use may also be governed by a separate written agreement with us. If that agreement conflicts with these Terms, the written agreement controls. The School is responsible for managing its users, getting any required consents, and using student information in line with the laws that apply to it. ### **5. Subscriptions, fees, and payment** - Some features require a paid subscription. Prices and plan details are shown at signup or in your agreement with us. - You can pay by card through our payment processor, Stripe, or by electronic funds transfer (EFT) through a Canadian financial institution. By purchasing, you authorize us and our payment providers to charge or collect payment using the method you choose. - Parent subscriptions renew automatically at the end of each billing period until cancelled. Parents can cancel at any time through the platform, and cancellation takes effect at the end of the current billing period. Schools and other educational customers are billed as set out in their invoice or agreement and should contact us at tim@afitlearning.com to make changes to or cancel their subscription. - We may change our prices. We will give you notice before a price change applies to your subscription. - Prices do not include applicable taxes unless stated. ### **6. Acceptable use** You agree not to: - use the Service for any unlawful purpose or in violation of these Terms; - share your account or let unauthorized people access it; - enter information about a child you are not authorized to act for; - copy, share, publish, or sell assessment questions, content, or materials; - reverse engineer, decompile, scrape, or try to extract the source code or assessment content; - interfere with or disrupt the Service, or try to gain unauthorized access to it; - upload viruses or other harmful code; or - use the Service to build a competing product. We may suspend or terminate access for anyone who breaks these rules. ### **7. Intellectual property** The Service, including the assessments, questions, scoring methods, reports, strategies, software, text, graphics, logos, and the AFit name, is owned by AFit Learning or its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose and to use results and strategies for supporting the students in your care. All other rights are reserved. ### **8. Your content and data** You keep ownership of the information you enter into the Service. You give us permission to use it to provide and improve the Service, as described in our Privacy Policy. We may create and use de-identified or aggregated data that does not identify any individual, including to improve our assessment and for research. If you send us feedback or suggestions, we may use them without any obligation to you. ### **9. Third-party services** The Service may link to or rely on third-party websites and services. We are not responsible for their content, policies, or practices, and your use of them is at your own risk. ### **10. Availability and changes** We work to keep the Service available and reliable, but we do not guarantee it will be uninterrupted or error-free. We may change, add, or remove features at any time. We may also perform maintenance that temporarily limits access. ### **11. Disclaimer of warranties** To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not guarantee any particular educational outcome or that results will be complete or accurate for every student. ### **12. Limitation of liability** To the fullest extent permitted by law, AFit Learning and its directors, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or opportunities, arising from or related to your use of the Service. Our total liability for any claim related to the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) one hundred Canadian dollars (CAD $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. ### **13. Indemnity** You agree to indemnify and hold harmless AFit Learning and its directors, employees, and partners from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your entering information you were not authorized to provide. ### **14. Termination** You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. When your account ends, your right to use the Service stops, and your data will be handled as described in our Privacy Policy. Sections that by their nature should continue (including Sections 2, 7, 8, 11, 12, 13, and 16) survive termination. ### **15. Changes to these Terms** We may update these Terms from time to time. We will post the updated Terms on this page and change the effective date above. If changes are significant, we will notify account holders by email or through the Service before they take effect. Continuing to use the Service after changes take effect means you accept them. ### **16. Governing law** These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there. You agree that the courts located in Red Deer, Alberta have exclusive jurisdiction over any dispute, unless the law where you live gives you the right to bring a claim elsewhere. ### **17. General** If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any right is not a waiver of it. You may not transfer these Terms without our consent; we may transfer them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and any written agreement with a School, are the entire agreement between you and us about the Service. ### **18.
